Becoming an SFC Responsible Officer

A Responsible Officer supervises a regulated activity on behalf of a licensed corporation. Here is what the SFC requires, and how firms and individuals get there.

A Responsible Officer (RO) is an individual approved by the SFC to supervise a regulated activity carried on by a licensed corporation. The RO is the person the regulator holds accountable for how that activity is conducted day to day — which is why the approval bar is set at competence plus fit-and-proper, not just experience.

For a firm, the RO question is structural: you cannot be licensed for a regulated activity without the ROs to supervise it. For an individual, RO approval is a recognised step up in a Hong Kong regulated career.

How many Responsible Officers a firm needs

A licensed corporation must have at least two ROs approved to supervise each regulated activity it is licensed for, and at least one of them must be an executive director who is available to supervise the business at all times. Under the Manager-in-Charge regime, ROs are typically also the MICs for the relevant core functions.

Competence requirements for an RO

To be approved, an individual must meet the SFC’s competence requirements for the regulated activity. In broad terms that means a combination of academic or professional qualifications, recognised industry qualifications, relevant industry experience, management experience, and a pass in the local regulatory-framework paper.

  • Academic or professional qualification, or an accepted alternative combination of qualifications and experience.
  • Recognised industry qualification — the licensing examination papers for the regulated activity.
  • Relevant industry experience, typically over a period of years in the regulated activity.
  • Management experience supervising the regulated activity or an equivalent function.
  • A pass in the local regulatory-framework paper.

The fit-and-proper standard

Beyond competence, every RO must be fit and proper — financially sound, of good reputation and character, and reliable. The SFC considers an individual’s regulatory history, any disciplinary record, and integrity generally. Gaps or adverse history are not automatically fatal but must be addressed transparently in the application.

How approval works

RO approval is sought as part of, or alongside, the corporation’s licence application, through the SFC’s WINGS portal. The application sets out the individual’s qualifications, experience and fit-and-proper position, and how they will supervise the activity. The SFC reviews, may raise questions, and grants the approval — sometimes with conditions.

What is the difference between a Responsible Officer and a licensed representative?

A licensed representative is an individual licensed to carry on a regulated activity for a corporation. A Responsible Officer is additionally approved to supervise that activity — a higher bar, requiring management experience and, for at least one RO, executive-director status.

Can an individual be an RO for more than one firm?

The SFC expects an RO to genuinely supervise the activity, so multiple or cross-firm roles are scrutinised for whether the person can properly discharge the responsibility. It is assessed case by case rather than ruled out outright.

What if I fall slightly short on one competence element?

The requirements can be met through accepted combinations of qualification and experience, and shortfalls are sometimes bridged by additional examinations or documented experience. It is worth assessing candidacy carefully before applying.
